By accepting this rate confirmation, Carrier certifies it holds active FMCSA operating authority and cargo insurance minimum of $100,000. Double-brokering, re-brokering, or unauthorized trip-leasing is strictly prohibited and subject to immediate forfeiture of funds plus $5,000 liquidated damages.

1. CARRIER AUTHORITY & SAFETY COMPLIANCE
Carrier represents and warrants that it is duly authorized by the FMCSA under MC# 142890 to provide interstate motor carriage. Carrier agrees to maintain active operating authority, a satisfactory safety rating, and comply with all applicable Hours of Service regulations.
2. CARGO CARE, TEMPERATURE LOGS & BOL TRANSMISSION
Carrier assumes full liability for cargo from tender until delivery. Temperature must remain continuous at -10°F. In the event of reefer malfunction, Carrier must notify Broker within 30 minutes. Signed legible Bill of Lading (BOL) must be transmitted within 24 hours of delivery.
3. ZERO TOLERANCE FOR CO-BROKERING & UNAUTHORIZED ASSIGNMENT
Carrier shall transport this load solely using its own equipment and drivers. Any co-brokering, re-brokering, load-boarding, or unauthorized subcontracting constitutes material breach, entitling Broker to pay the actual hauling carrier directly and assess $5,000 in liquidated damages.
4. DETENTION, LAYOVER & TONU TERMS
Free time is two (2) hours for loading and two (2) hours for unloading. Detention thereafter is $50.00/hour provided Carrier alerts Broker in writing 30 minutes prior to detention commencement. GPS and signed time-stamped paperwork required.
5. INSURANCE INDEMNIFICATION REQUIREMENTS
Carrier must maintain $1,000,000 Automobile Liability and $100,000 All-Risk Cargo Insurance without refrigeration breakdown exclusions.
6. PAYMENT PROCEDURES & QUICKPAY
Standard payment terms are Net 30 days from receipt of clean invoice and POD. QuickPay (2% fee) processed within 48 business hours upon approval.
